1. Acceptance of Terms

By placing an order with Legion Suppliers ("Seller"), whether via our website, purchase order, or email, the customer ("Buyer") agrees to be bound by these Terms and Conditions. These terms supersede any conditions in the Buyer’s purchase order or other documentation unless expressly agreed to in writing by the Seller.

2. Nature of Products & Engineering Disclaimer

THIS IS A CRITICAL LIABILITY SECTION. The Seller is a distributor of components. We do not design, manufacture, or test the final applications in which these products are used.

  • No Engineering Advice: Any technical advice, recommendations, or datasheets provided by the Seller are for reference purposes only. The Buyer is solely responsible for determining the "fitness for purpose" of the product for their specific application.

  • High-Risk Applications: Products sold by Legion Suppliers are not authorized for use in safety-critical applications, including but not limited to: life support systems, implantable medical devices, nuclear facilities, or aerospace navigation, unless expressly authorized in writing by an officer of the Seller.

  • Prototype & Experimental Use: We understand many of our customers are testing prototypes. The Seller is not liable for property damage, injury, or data loss resulting from the failure of a component during testing or experimental phases.

3. Orders, Pricing, and Payment

  • University & Enterprise Purchase Orders: We accept Net-30 Purchase Orders (POs) from accredited Universities and qualified corporate accounts upon credit approval.

  • Pricing: Prices are subject to change without notice due to market fluctuation on raw materials (e.g., copper, silicon).

  • Taxes: Buyer is responsible for all applicable sales, use, and excise taxes. Tax-exempt entities (Universities/Non-Profits) must provide a valid certificate prior to shipping.

4. Shipping & Risk of Loss

  • FOB Origin: Shipping terms are FOB (Free on Board) Origin. This means the title and risk of loss pass to the Buyer the moment the carrier (UPS, FedEx, USPS) picks up the package from our facility.

  • Delays: The Seller is not liable for delays caused by carriers, customs clearance, or supply chain interruptions.

5. Returns & Restocking Policy

  • 14-Day Window: Returns are accepted within 14 days of delivery.

  • Restocking Fee: As per our specific policy, a 30% restocking fee applies to all non-defective returns. This covers inspection, testing, and repacking costs.

  • Condition: Items must be un-soldered, un-cut, and in original packaging. Electronic components (ICs, sensors) that have been opened from ESD-safe packaging are non-returnable due to the risk of static damage.

6. Warranty & Limitation of Liability

  • Manufacturer Warranty Only: The Seller transfers any transferable manufacturer warranties to the Buyer. The Seller makes no independent warranty, express or implied.

  • Disclaimer of Warranties: THE SELLER SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  • Limitation of Damages: IN NO EVENT SHALL Legion Suppliers BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DOWNTIME, OR PROJECT DELAYS) ARISING OUT OF OR CONNECTED WITH THE PERFORMANCE OR FAILURE OF THE PRODUCTS.

  • Liability Cap: The Seller’s total liability shall strictly not exceed the original purchase price of the specific product that caused the damage.

7. Educational & University Use

  • Supervision: If products are purchased for use by students or in an educational setting, the purchasing institution acknowledges full responsibility for providing adequate safety supervision, training, and protective equipment (PPE).

  • Liability Waiver: The institution agrees to hold the Seller harmless from any claims regarding student injury resulting from the misuse or modification of components.

8. Export Compliance (ITAR / EAR)

Many electronic and mechanical components are subject to export control laws.

  • The Buyer agrees not to export, re-export, or transfer any products, technical data, or software to any country or entity prohibited by the U.S. Department of Commerce (EAR) or Department of State (ITAR).

  • The Buyer confirms they are not on any Denied Parties List.

9. Intellectual Property

Purchase of products does not convey any license to the Manufacturer’s or Seller’s intellectual property, patents, or trade secrets, other than the right to use the product as sold. Reverse engineering for the purpose of creating counterfeit goods is strictly prohibited.

10. Governing Law

These terms shall be governed by the laws of the State of [Your State]. Any legal disputes arising from this agreement shall be resolved in the courts located in [Your County/City].

Terms & Conditions - the basics

Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner. 

 

T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).     

 

T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.

🛑 GENERAL HIGH-ENERGY SAFETY RULES

1. Wear Protective Equipment

Always wear safety glasses (ANSI Z87.1 certified) and non-conductive gloves when handling or working near this component.

2. Isolate and Discharge

Ensure all power sources are disconnected before handling. Components like capacitors can retain a lethal charge even after power is removed. Always confirm the component is fully discharged using appropriate instruments (e.g., multimeter) and discharge tools before touching terminals.

3. Keep Away from Combustibles

Do not use, charge, or store this component near flammable materials, liquids, or gases.

4. Adult/Supervisor Use Only

This product is intended for use by experienced engineers, technicians, or under the direct, constant supervision of qualified personnel.

🔋 SPECIFIC WARNINGS: LITHIUM-POLYMER (LIPO) BATTERIES

DANGER Action Required

Puncturing / Impact Never puncture, drop, crush, or disassemble the battery. Internal damage can cause a fire.

Charging ONLY use a charger specifically designed for LiPo batteries, balanced charging, and set to the correct cell count. Never charge unattended.

SwellingIf the battery swells, immediately place it in a non-flammable container (e.g., metal can) and monitor it from a safe distance for at least 30 minutes. Do NOT attempt to use or charge.

StorageStore at Storage Charge (approx. $3.8V$ per cell) and in a fireproof container or LiPo safety bag, away from direct sunlight or extreme temperatures.

âš¡ SPECIFIC WARNINGS: HIGH-VOLTAGE CAPACITORS

DANGER Action Required

Voltage Rating NEVER exceed the stated maximum voltage rating. This will cause catastrophic failure.

Short CircuitsAccidental shorting of terminals can cause arcing, explosion, and serious burns. Securely insulate all leads and exposed terminals.

Discharge MethodOnly use approved, non-conductive bleed resistors or dedicated discharge tools to safely drain the stored energy.

PolarityElectrolytic capacitors must be connected with the correct polarity (Positive to Positive). Reversing polarity can cause the component to fail or explode.

🚨 IN CASE OF FIRE OR EMERGENCY

  1. Evacuate the area immediately and ensure personnel safety.

  2. If the fire involves a LiPo battery, use a Class D (Metal Fire) extinguisher, large amounts of sand, or a non-flammable soaking agent. DO NOT use water or standard Class A/B/C extinguishers, as they may be ineffective or accelerate the reaction.

  3. For electrical fires, use a Class C extinguisher (CO2 or dry chemical).
